Business transport contract

Terms and Conditions of Carriage

Version 1.0 · Effective 21 September 2026

1. Parties and business use

These terms apply to business customers booking road transport with MYR Freight, a trading name operated by Express Ship Limited (company number 15300484), registered office 513 London Road, Cheam, Sutton, England, SM3 8JR (‘MYR’, ‘we’, ‘us’). The person placing the order confirms that they have authority to bind the customer. These terms do not apply to consumers.

2. Contract formation and priority

A website estimate, payment or request is not by itself confirmation that a vehicle is allocated. A binding transport contract is formed only when MYR confirms the booking in writing. The booking confirmation, any individually agreed written terms and these terms form the contract, in that order of priority. Customer purchase terms do not apply unless MYR expressly agrees to them in writing.

3. Scope and transport regime

For carriage wholly within the United Kingdom, these terms apply subject to mandatory law. Where the Convention on the Contract for the International Carriage of Goods by Road (CMR) applies, CMR prevails over any inconsistent term. We may subcontract all or part of the service and any subcontractor may rely on protections and limits in this contract.

4. Customer information and responsibilities

The customer must provide complete and accurate collection, delivery, access, booking-time, cargo, gross-weight, dimensions, packaging, temperature, trailer, customs and dangerous-goods information before confirmation. The customer warrants that the goods are properly packed, labelled, safe and lawful to carry, and that sites are suitable for a 44-tonne articulated vehicle. The customer is responsible for loading, securing and unloading unless MYR expressly agrees otherwise. The customer indemnifies MYR for reasonable losses, fines, clean-up costs or third-party claims caused by inaccurate instructions, unsafe goods, defective packaging, site conditions or the customer’s breach, except to the extent caused by MYR’s negligence.

5. Restricted and high-value goods

Cash, negotiable instruments, precious metals, jewellery, works of art, controlled drugs, live animals, waste, weapons, dangerous goods and goods requiring special security or temperature controls must not be tendered unless declared in writing and accepted by MYR before booking. The customer must disclose cargo value where it exceeds £100,000 per vehicle or where special insurance may reasonably be required.

6. Price and additional charges

Prices exclude VAT unless stated otherwise. The confirmed price covers only the stated route, service, mileage, time allowance and equipment. Additional reasonable charges may apply for waiting beyond the agreed allowance, demurrage, aborted collections, redelivery, route or timing changes, extra mileage, tolls, ferries, ports, clean-air or congestion charges, parking, specialist permits, customs delays, storage, cleaning and costs caused by inaccurate customer information. We will provide supporting details on request.

7. Waiting, access and delays

Collection and delivery times are estimates unless MYR expressly accepts a guaranteed time in writing. The customer must provide safe and timely access. MYR is not liable for delay caused by traffic, weather, road closures, ports, border or customs controls, industrial action, site queues, customer instructions or events beyond reasonable control. Where delay is caused by MYR’s breach and liability cannot lawfully be excluded, liability is limited to the transport charge for the affected movement, unless a different mandatory regime applies.

8. Cancellation

RDC traction-only bookings may be cancelled without charge at least 24 hours before the agreed start; the charge is £150 per vehicle when cancelled 12–24 hours before start and £300 per vehicle within 12 hours. Tramping bookings require a minimum five-day booking; cancellation within 24 hours is charged at £999 per tractor, per booking. For dedicated, multi-unit, ferry, tunnel, port or specially sourced work, the customer must also reimburse non-refundable third-party costs and any separately agreed cancellation charge. MYR will take reasonable steps to reduce avoidable loss.

9. Payment

Payment is due when shown at checkout or, for approved credit accounts, within the period on the invoice. The customer may not withhold or set off payment except where required by law. Overdue business invoices may attract statutory interest, fixed compensation and reasonable recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998. Card payment does not waive MYR’s right to correct an obvious pricing error before booking confirmation; any rejected booking will be refunded.

10. Risk, liability and insurance

For UK domestic carriage, MYR’s liability for physical loss of or damage to goods caused by its breach is limited to the lower of the proven value of the goods lost or damaged and £1,300 per tonne of the gross weight lost or damaged, unless a higher limit and additional charge are agreed in writing before collection. For CMR carriage, the CMR measure and limits apply. MYR is not liable for loss of profit, revenue, contract, production, market, goodwill or any indirect or consequential loss. Nothing excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, deliberate misconduct, or any liability that cannot lawfully be excluded. The customer should insure goods above the applicable carrier-liability limit.

11. Claims

The customer must inspect the goods at delivery and note visible loss or damage on the delivery record. Written details and supporting evidence should be sent promptly: visible loss or damage within 7 days, concealed damage within 7 days of discovery and no later than 14 days after delivery, and non-delivery within 28 days of the expected delivery date. These notice periods do not remove rights that cannot lawfully be excluded, but delay may prejudice investigation. Court proceedings for domestic carriage must be started within one year of delivery or the date delivery should have occurred, except where mandatory law provides another period.

12. Lien and disposal

To the extent permitted by law, MYR has a general and particular lien over goods and documents in its possession for sums due from the customer or the owner of the goods. After reasonable written notice, MYR may store the goods at the customer’s risk and cost and, if payment remains outstanding, sell or dispose of them in a commercially reasonable manner, applying net proceeds to the debt and accounting for any balance.

13. Suspension, force majeure and termination

MYR may suspend or terminate a booking where payment is overdue, instructions are unsafe or unlawful, required information is missing, or performance would breach operator-licensing, drivers’ hours, weight, road-safety, sanctions or other legal requirements. Neither party is liable for failure caused by events beyond reasonable control, but payment remains due for services already performed and unavoidable committed costs.

14. Data and electronic acceptance

MYR may use booking and contact information to perform the contract, prevent fraud, handle claims and meet legal obligations. Ticking the acceptance box and pressing ‘Place order & pay securely’ creates an electronic record of acceptance including the terms version, date and booking data. A copy of the current terms can be saved or printed from this page.

15. General and governing law

If a provision is invalid, the remaining terms continue. No failure to enforce a right is a waiver. Changes must be agreed in writing, except that updated terms apply only to future bookings. No third party has rights under the Contracts (Rights of Third Parties) Act 1999 except an authorised subcontractor relying on clause 3. The contract is governed by English law and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory CMR jurisdiction.
